1. Agreement to Terms

By accessing and using Rogerpay ("Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to abide by the above, please do not use this service.

Rogerpay Technologies ("Company," "we," "us," "our") reserves the right to modify these Terms at any time. We will notify you of any changes by updating the "Last Updated" date. Your continued use of the Service after modifications constitutes your acceptance of the updated Terms.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on Rogerpay for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to decompile, reverse engineer, disassemble, or hack any of our software or systems
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server
• Violate any applicable laws or regulations in your jurisdiction

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and legally authorized to enter into agreements in your jurisdiction. If you represent a business or organization, you warrant that you have the authority to bind such entity to these Terms.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and password. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Verification

We reserve the right to verify your identity and business information. We may require additional documentation to comply with KYC (Know Your Customer) and AML (Anti-Money Laundering) regulations.

4. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Facilitating illegal transactions or activities
• Money laundering or terrorist financing
• Fraud, deception, or misrepresentation
• Violating any applicable laws or regulations
• Harassment, abuse, or threatening behavior
• Intellectual property infringement
• Introducing malware or malicious code
• Attempting to gain unauthorized access to our systems
• Interfering with the service or network access
• Spam, phishing, or social engineering attacks

5. Payment Processing

5.1 Transaction Fees

You agree to pay all applicable fees associated with your account and transactions. Fees are displayed in your dashboard and will be deducted from settled transactions or charged to your registered payment method.

5.2 Chargeback and Disputes

In case of customer disputes or chargebacks, you authorize us to investigate and take appropriate action. You assume all liability for chargebacks resulting from unauthorized or fraudulent use of our service.

5.3 Settlement

Funds will be settled to your designated bank account according to your agreement. Settlement timelines may vary based on your account status and transaction volume.

6. Intellectual Property Rights

All content on Rogerpay, including text, graphics, logos, images, and software, is the property of Rogerpay Technologies or its content suppliers and is protected by international copyright laws. You may not reproduce, distribute, or transmit any content without our prior written permission.

7. Limitation of Liability

• We do not warrant that the service will be uninterrupted or error-free
• We are not liable for data loss or corruption
• We are not liable for third-party actions or services
• Our total liability is limited to fees paid in the last 12 months

8. Disclaimer of Warranties

The materials on Rogerpay are provided on an 'as is' basis. Rogerpay makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

9. Limitation on Time to File Claims

Any claim or cause of action arising out of or relating to your use of Rogerpay or these Terms must be filed within one (1) year after such claim or cause of action arises. Claims filed after the one-year period are permanently barred.

10. Indemnification

You agree to indemnify, defend, and hold harmless Rogerpay, its officers, directors, employees, and agents from any and all claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to:

• Your violation of these Terms
• Your use of the Service
• Your violation of any applicable laws or regulations
• Your infringement of third-party rights

11. Suspension and Termination

11.1 Termination by User

You may terminate your account at any time by providing written notice to us. Upon termination, all outstanding obligations must be settled.

11.2 Termination by Rogerpay

We reserve the right to terminate or suspend your account immediately, without notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your account poses a risk to Rogerpay or other users
• You breach applicable laws or regulations
• Your account has been inactive for 12 consecutive months

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United States, and you irrevocably submit to the exclusive jurisdiction of the courts in California. Any legal action or proceeding arising under these Terms will be conducted solely in English.

13. Dispute Resolution

13.1 Informal Resolution

Before pursuing formal legal action, both parties agree to attempt to resolve disputes informally by contacting each other.

13.2 Arbitration

Any dispute not resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association, except for intellectual property infringement claims.

13.3 Class Action Waiver

You waive any right to participate in class action lawsuits against Rogerpay.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

15. Changes to Terms

Rogerpay reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting. We will notify you of material changes via email or prominent notification on our website. Continued use of the Service constitutes your acceptance of the modified Terms.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rogerpay regarding your use of the Service and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral.
